Welcome to Odan Construction Software / ODAN CMS. These Terms & Conditions (“Terms”) govern your access to and use of our website, mobile application, software platform, and related services provided by Odan Infotech LLP (“we,” “our,” or “us”).
By accessing or using our website, app, or software, you agree to these Terms. If you do not agree with these Terms, please do not use our services.
1. Definitions
“Software” or “Platform” means Odan Construction Software / ODAN CMS, including the website, mobile app, dashboard, and related services.
“User” means any person who accesses or uses the Software, including company owners, admins, employees, engineers, supervisors, contractors, site staff, or other authorized users.
“Company,” “Employer,” or “Admin” means the business or organization that subscribes to or manages the Software for its projects, employees, and users.
“Content” means all data, documents, photos, attendance records, project records, reports, material records, billing records, and other information uploaded, submitted, or generated through the Software.
2. Use of the Software
The Software is provided for construction project management, employee attendance, site reporting, material tracking, purchase/order management, billing, documentation, and related business operations.
Users agree to use the Software only for lawful business purposes and in accordance with these Terms.
Users must not misuse the Software, attempt unauthorized access, upload harmful content, interfere with system security, or use the Software for illegal activities.
3. Account Registration and Responsibility
Users may be required to create an account or be added by an authorized company/admin user.
Users are responsible for maintaining the confidentiality of login credentials and for all activities performed under their account.
The company/admin is responsible for managing user access, employee records, project details, permissions, and role-based access.
We are not responsible for unauthorized access caused by weak passwords, shared credentials, user negligence, or failure by the company/admin to manage access properly.
4. Employee Attendance and Face Verification
The Software may include employee attendance features such as punch-in, punch-out, face detection / face recognition, geofencing, location verification, photo capture, and attendance reporting.
Face detection / face recognition is used only to verify employee attendance and prevent proxy or false attendance marking.
The company/employer/admin is responsible for informing employees about attendance verification methods used in the workplace and obtaining any permissions or consents required under applicable laws or company policies.
Our Software does not collect, access, or store Apple Face ID data. Apple Face ID data is controlled by iOS. Where biometric account login is used on iOS, Apple’s LocalAuthentication framework should be used as the primary biometric authentication mechanism.
5. User Content and Data
Users and company/admin accounts may upload or enter project data, attendance data, documents, photos, bills, material records, and other business information.
The company/admin remains responsible for the accuracy, legality, and completeness of all content uploaded or entered into the Software.
Users must not upload false, misleading, illegal, harmful, confidential third-party data without authorization, or content that violates any law or third-party rights.
6. Data Accuracy and Reports
The Software may generate attendance reports, project reports, purchase reports, billing reports, material reports, and other business outputs based on user-entered data.
Reports and calculations depend on the accuracy of the data entered by users. Users and company/admins must verify all reports before using them for payroll, billing, accounting, project decisions, compliance, or legal purposes.
We do not guarantee that reports will be free from user input errors, configuration errors, or business interpretation errors.
7. Subscription, Fees, and Payment
Access to the Software may be provided through paid subscription plans, custom enterprise plans, or other commercial arrangements.
Fees, billing cycles, payment terms, renewal terms, and cancellation terms may be described in the applicable proposal, invoice, subscription plan, or agreement with the customer.
Failure to make payment may result in suspension, restriction, or termination of access to the Software.
All fees are subject to applicable taxes unless otherwise stated.
8. Third-Party Services
The Software may use or integrate with third-party services such as hosting providers, cloud storage, analytics, communication tools, map/location services, payment services, app stores, or other operational tools.
Use of third-party services may be subject to their own terms and privacy policies. We are not responsible for the actions, availability, policies, or performance of third-party services.
9. Intellectual Property
All rights, title, and interest in the Software, website, app design, features, workflows, branding, logos, source code, database structure, text, graphics, and other materials belong to Odan Infotech LLP or its licensors, unless otherwise stated.
Users are granted a limited, non-exclusive, non-transferable, revocable right to use the Software for authorized business purposes.
Users must not copy, modify, reverse engineer, resell, distribute, rent, lease, or create derivative works from the Software without our written permission.
10. Confidentiality
Users may access confidential business, project, employee, client, financial, or operational information through the Software.
Users agree to maintain confidentiality of such information and use it only for authorized business purposes.
Company/admin accounts are responsible for assigning appropriate user roles and permissions to protect confidential information.
11. Prohibited Activities
Users agree not to:
- Use the Software for illegal, fraudulent, or unauthorized purposes.
- Attempt to hack, disrupt, overload, or damage the Software.
- Upload malware, viruses, or harmful code.
- Access another user’s account without permission.
- Falsify attendance, project records, bills, documents, or reports.
- Copy, resell, or commercially exploit the Software without permission.
- Remove copyright, trademark, or proprietary notices.
- Use the Software in a way that violates any applicable law or regulation.
12. Service Availability
We aim to provide reliable service, but we do not guarantee uninterrupted, error-free, or always-available access.
The Software may be unavailable due to maintenance, updates, server issues, internet problems, third-party service issues, force majeure events, or technical failures.
We may update, modify, suspend, or discontinue any feature of the Software as needed for security, performance, legal, or business reasons.
13. Limitation of Liability
To the maximum extent permitted by law, Odan Infotech LLP shall not be liable for indirect, incidental, special, consequential, punitive, or business losses, including loss of profit, loss of data, project delay, payroll error, billing error, business interruption, or loss caused by user-entered data or third-party services.
The Software is provided as a business management tool. Final responsibility for business decisions, payroll, billing, compliance, project execution, and records remains with the company/admin and users.
14. Disclaimer of Warranties
The Software is provided on an “as is” and “as available” basis.
We make reasonable efforts to provide useful and reliable services, but we do not guarantee that the Software will meet every business requirement, be error-free, uninterrupted, secure from every risk, or produce results suitable for every specific situation.
Users are responsible for reviewing and verifying all important outputs before relying on them.
15. Indemnification
Users and company/admin accounts agree to indemnify and hold harmless Odan Infotech LLP, its partners, employees, and service providers from claims, losses, liabilities, damages, costs, or expenses arising from misuse of the Software, violation of these Terms, violation of law, unauthorized data upload, or infringement of third-party rights.
16. Termination
We may suspend or terminate access to the Software if a user or company/admin violates these Terms, fails to make payment, misuses the Software, creates security risk, or uses the Software unlawfully.
Upon termination, access to the Software may be disabled. Data handling after termination may be governed by the applicable agreement, retention policy, privacy policy, or legal requirements.
17. Privacy Policy
Use of the Software is also governed by our Privacy Policy, which explains how we collect, use, store, share, and retain personal information, including face data used for attendance verification.
Users should read the Privacy Policy carefully before using the Software.
18. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with the revised “Last Updated” date.
Continued use of the website, app, or Software after changes means users accept the updated Terms.
19. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India.
Subject to applicable law, courts located in Surat, Gujarat, India shall have jurisdiction over disputes arising from these Terms or use of the Software.
